Sole Proprietorship Registration

Start your sole proprietorship with the right registrations — GST, MSME, Shop & Establishment

What is a Sole Proprietorship?

A Sole Proprietorship is the simplest and most common form of business owned and run by one individual. There is no legal distinction between the owner and the business, meaning the proprietor reaps all profits but also bears unlimited liability for all debts. Unlike a company or LLP, a sole proprietorship does not require a separate registration under a central act like the Companies Act — it is established simply by the owner engaging in business activity.

However, to operate legally and gain credibility, a sole proprietor must obtain certain registrations depending on the nature and location of the business:

  • MSME / Udyam Registration (under the MSMED Act, 2006) – to avail government benefits and schemes.
  • GST Registration (under the CGST Act, 2017) – mandatory if turnover exceeds the threshold or for inter‑state trade.
  • Shop & Establishment Act (state‑specific) – required for commercial establishments, shops, and offices.
  • Professional Tax Registration (where applicable).
  • Trade License from the local municipal authority (if required by the business type).

We help you identify and obtain all necessary registrations to make your sole proprietorship fully compliant.

Documents Typically Required

  • Identity and address proof of the proprietor (PAN, Aadhaar).
  • Proof of business address (rent agreement, NOC, utility bill).
  • Bank account details in the name of the business (if available).
  • Passport‑size photographs.
